For purposes of these Terms:
License Grant
Subject to your full and ongoing compliance with these Terms, YEAR TECH grants you a limited, revocable, personal, non-exclusive, non-transferable, non-sublicensable license to access and use the API, SDK, Documentation, and related materials solely for the purpose of developing, testing, operating, and maintaining an App that interacts with the Yera Connect Services.
Distributable SDK components
Where the SDK includes components expressly designated as "distributable", you may distribute those components only in object code form, only as part of your App, and only as necessary for your App to interact with the Services.
Open-source components
Certain API or SDK components may include open-source software. To the extent an applicable open-source license expressly conflicts with these Terms, the open-source license will govern that specific component only.
Fees, Charges, and Billing
Your use of the API, SDK, widget, dashboard, merchant panel, or Services may be subject to fees:
Fees may be described in pricing terms, proposals, order forms, invoices, merchant agreements, commercial agreements, dashboard notices, or other written communications. You are responsible for all fees, taxes, duties, and charges unless otherwise agreed in writing.
API Keys, Credentials, and Security
You are responsible for maintaining the confidentiality and security of all API keys, credentials, tokens, passwords, certificates, secrets, and other access credentials issued to you or used by your App.
Do not share, sell, disclose, embed in public code repositories, or otherwise expose API keys or credentials to unauthorised persons.
Maintain administrative, technical, and organisational security measures at least as protective as those you use for your own highly confidential information.
You are responsible for all activity that occurs using your credentials, whether authorised by you or not.
Promptly notify Yera Connect of any unauthorised access, security incident, vulnerability, credential compromise, data breach, misuse, or suspected compromise.
Confidentiality
You must not disclose, publish, distribute, sell, sublicense, or otherwise make available the API, SDK, Documentation, credentials, technical specifications, security information, pricing information, or other Confidential Information to any third party except as expressly permitted by these Terms or approved in writing by YEAR TECH.
You may disclose Confidential Information only to employees, contractors, or service providers who have a legitimate need to know, provided they are bound by confidentiality obligations at least as protective as these Terms. You must protect Confidential Information from unauthorised access, use, disclosure, or loss.
Developer Responsibilities
You are solely responsible for your App, your integration, your systems, your content, your business operations, your relationship with End Users, and your compliance with all applicable laws, regulations, rules, and industry standards.
Your App must
- Comply with these Terms and the Documentation
- Not misrepresent its relationship with Yera Connect or YEAR TECH
- Not create security, operational, legal, regulatory, reputational, or technical risks for Yera Connect
- Not interfere with or degrade the Services
- Maintain compatibility with the current API, SDK, and Services
- Include appropriate user notices, consents, disclosures, and privacy information
- Not collect, process, store, or transmit data unlawfully
- Not expose Yera Connect, YEAR TECH, users, partners, or third parties to unlawful or unauthorised activity
You are responsible for providing all customer support, maintenance, notices, terms, and disclosures required for your App unless otherwise agreed in writing.
Compliance With Laws and Permits
You must comply with all applicable laws, regulations, rules, orders, sanctions requirements, AML requirements, CTF requirements, financial services rules, consumer protection rules, privacy laws, data protection laws, export control rules, card scheme rules, payment network rules, and industry standards that apply to your App, your business, your integration, your End Users, or your use of the Services.
Where your App, business model, or use of the Services requires licences, registrations, approvals, permits, authorisations, consents, or qualifications, you are solely responsible for obtaining and maintaining them — including permits relating to payments, fiat currency, digital assets, cryptocurrency, blockchain tokens, virtual assets, remittances, stored value, financial promotions, money transmission, or payment processing.
End Users
You are responsible for ensuring that your End Users comply with applicable laws, your own terms, and any applicable Yera Connect terms. Where required by Yera Connect, you must ensure that End Users separately accept Yera Connect's applicable user terms, privacy notices, disclosures, or consent forms before accessing or using the Services.
Privacy and Data Protection
You are responsible for maintaining a clear, accurate, and legally compliant privacy policy for your App and services. Your privacy policy must explain what information you collect, how you use it, how you store it, how you protect it, how you share it, and whether it is used for analytics, advertising, compliance, fraud prevention, support, or other purposes.
- Obtain all legally required consents and provide all legally required notices before collecting, processing, sharing, transferring, or storing personal data
- Not use data obtained through the API, SDK, widget, dashboard, merchant panel, or Services for any purpose not authorised by these Terms, the Documentation, applicable law, or written agreement with YEAR TECH
- Not sell, rent, or misuse user data obtained through the Services
Prohibited Uses
You must not, and must not allow any third party to:
Compatibility, Updates, and API Limits
You must ensure that your App remains compatible with the API, SDK, Documentation, and Services, including any updates, patches, modifications, or changes provided by Yera Connect. Yera Connect may update, modify, suspend, deprecate, restrict, or discontinue any API, SDK, widget, endpoint, feature, function, documentation, version, or service at any time.
Applicable limits
You must not attempt to circumvent these limits. Yera Connect may suspend or restrict your access if your usage exceeds permitted limits, creates security risks, degrades performance, or violates these Terms.
Dashboard, Merchant Panel, Data, and Reporting
Yera Connect may provide access to dashboards, merchant panels, reports, analytics, logs, status information, transaction information, or other data. Yera Connect does not guarantee that dashboard data, API data, merchant panel data, reports, logs, analytics, or status information will be complete, accurate, current, uninterrupted, or error-free.
Intellectual Property
As between you and YEAR TECH, YEAR TECH owns all rights, title, and interest in and to the API, SDK, Documentation, Services, platform, software, technology, systems, infrastructure, trademarks, trade names, logos, designs, content, and related intellectual property. You retain ownership of your App, excluding any Yera Connect materials, intellectual property, software, data, or Confidential Information incorporated into or used by your App.
Trademark restrictions
You may not use the name, trademarks, logos, branding, trade names, or service marks of Yera Connect or YEAR TECH without prior written approval. You must not remove, obscure, or alter any proprietary notices, copyright notices, trademark notices, attribution, or legal notices included in the API, SDK, Documentation, or Services.
No Partnership or Agency
These Terms do not create a partnership, joint venture, agency, fiduciary relationship, employment relationship, franchise, or formal commercial representation between you and YEAR TECH. Your use of the API, SDK, widget, or Services does not mean that Yera Connect endorses your App, approves your business, guarantees your services, or represents you to any third party.
No Rights to User Funds, Assets, or Settlements
Unless expressly agreed in a separate written agreement, you have no right, title, claim, or entitlement to any funds, assets, balances, settlements, payments, reserves, chargebacks, refunds, or other amounts processed, held, received, transmitted, settled, or managed by Yera Connect or its partners on behalf of users or customers. Any financial obligations owed to End Users are governed by the applicable user terms, service terms, merchant terms, payment terms, or agreements entered into directly with the relevant party.
Third-Party Services
The API, SDK, widget, or Services may interact with third-party services, providers, networks, processors, infrastructure, software, banks, payment partners, blockchain networks, exchanges, compliance providers, identity verification providers, or other third-party systems. Yera Connect does not control third-party services and is not responsible for third-party acts, omissions, failures, delays, fees, outages, data errors, regulatory actions, or security incidents. Your use of third-party services may be subject to separate terms, policies, fees, and compliance obligations.
Suspension and Termination
You may stop using the API, SDK, widget, dashboard, or Services at any time. Yera Connect may suspend, restrict, or terminate your access at any time, with or without notice, if:
- You violate these Terms
- Your App creates legal, regulatory, security, financial, reputational, or operational risk
- Your use of the Services may be unlawful
- Your access credentials are compromised
- You fail to pay applicable fees
- Your use exceeds permitted limits
- Yera Connect is required to do so by law, regulator, partner, payment network, court order, or other authority
- Yera Connect discontinues or modifies the API, SDK, widget, or Services
Disclaimer of Warranties
Yera Connect does not warrant that the API, SDK, widget, dashboard, merchant panel, Documentation, or Services will be uninterrupted, timely, secure, error-free, compatible with your App, free from vulnerabilities, or available in all jurisdictions. Yera Connect does not guarantee that any transaction, request, integration, settlement, verification, compliance review, payment, transfer, or other process will be successful, completed, approved, or available.
Limitation of Liability
To the maximum extent permitted by applicable law, YEAR TECH, Yera Connect, and their affiliates, directors, officers, employees, contractors, licensors, suppliers, resellers, and partners will not be liable for:
To the maximum extent permitted by applicable law, YEAR TECH's total liability is limited to the fees you paid to YEAR TECH for the relevant Services during the three months immediately preceding the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless YEAR TECH, Yera Connect, and their affiliates, subsidiaries, directors, officers, employees, contractors, licensors, suppliers, resellers, and partners from and against any claims, liabilities, demands, actions, investigations, damages, losses, penalties, fines, costs, and expenses, including reasonable legal fees, arising from:
- Your use or misuse of the API, SDK, widget, dashboard, merchant panel, Documentation, or Services
- Your App, integration, systems, products, services, content, or business operations
- Your End Users' use or misuse of your App or the Services
- Your violation of these Terms or applicable laws, regulations, permits, licences, or sanctions requirements
- Your failure to obtain or maintain required licences, permits, consents, approvals, or authorisations
- Your infringement or alleged infringement of any intellectual property, privacy, publicity, contractual, or proprietary rights
- Any regulatory enforcement action, card scheme penalty, payment network fine, partner claim, user claim, or government investigation arising from your integration
- Your negligence, fraud, wilful misconduct, misrepresentation, or unauthorised activity
You will not be required to indemnify YEAR TECH to the extent a claim results directly from YEAR TECH's gross negligence or wilful misconduct.
Changes to These Terms
Yera Connect may update or modify these Terms from time to time. Updates may be provided by posting the revised Terms on yeraconnect.io, through the dashboard, by email, through Documentation, or by other reasonable means. Your continued access to or use of the API, SDK, widget, dashboard, merchant panel, Documentation, or Services after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using all Yera Connect developer services.

Notices to you may be sent to the email address associated with your account, posted in the dashboard, displayed through the Services, or provided by other reasonable means. Notices to Yera Connect must be sent to:

Security Reports
If you discover a vulnerability or have security concerns regarding the API, SDK, widget, dashboard, merchant panel, Services, infrastructure, or architecture, you must report it promptly to security@yeraconnect.io.
Assignment
You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without prior written consent from YEAR TECH. Any attempted assignment in violation of this section will be null and void. YEAR TECH may assign, transfer, delegate, or subcontract its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate restructuring, sale of assets, change of control, or transfer of business operations.

Nothing in these Terms prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, Confidential Information, security, users, systems, or legal rights.
Survival
Any provisions that by their nature should survive termination will continue to apply after termination, including provisions relating to fees, confidentiality, intellectual property, data use, disclaimers, limitation of liability, indemnification, dispute resolution, governing law, notices, and general terms.
General Terms
- These Terms, together with any incorporated terms, policies, documentation, invoices, proposals, order forms, and written agreements, constitute the entire agreement between you and YEAR TECH regarding the API, SDK, widget, dashboard, merchant panel, Documentation, and Services.
- If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
- No failure or delay by YEAR TECH in exercising any right or remedy will operate as a waiver of that right or remedy.
- Headings are for convenience only and do not affect interpretation.
- The API and SDK were developed at private expense and constitute commercial computer software and proprietary technology of YEAR TECH or its licensors.
